Proprietary License Agreement

Effective date: October 15, 2024

IMPORTANT: PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.

By installing or using this software ("Plugin") created by PluginRx ("Licensor"), you agree to the terms and conditions of this Proprietary License Agreement ("Agreement"). If you do not agree to these terms, do not install or use the Plugin.

License Grant

The Licensor hereby grants you a non-transferable, non-exclusive license to use the Plugin on the following terms:

Single Site License: You may use the Plugin on one (1) live website.
Multi-Site Licenses: If you purchased a license for 3 sites or 10 sites, you may use the Plugin on the specified number of websites according to the license type purchased.
Enterprise License: You may use the Plugin on an unlimited number of websites under this license, solely for your own personal or internal use.

This license is for use of the Plugin solely on the website(s) for which the license was granted.

Restrictions

No Redistribution: You are not allowed to redistribute, resell, lease, lend, or sublicense the Plugin, in whole or in part, to any third party.

No Modifications: You are not allowed to modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Plugin, except as necessary for use in the normal operation of your website(s).

No Copying: You may not make copies of the Plugin, except for backup purposes. Any copy you make must include the same copyright and proprietary notices as the original.

No Commercial Redistribution: You may not bundle the Plugin as part of a commercial software offering or distribute it in any form, including bundled in other software packages or as part of a service.

Intellectual Property

The Plugin and all related intellectual property rights, including but not limited to copyrights, patents, and trademarks, are the exclusive property of the Licensor. The Plugin is licensed, not sold, to you. No rights are granted except for those specifically set forth in this Agreement.

Warranty Disclaimer

The Plugin is provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not guarantee that the Plugin will be free of defects or errors, nor does the Licensor guarantee that the Plugin will function in all environments or with all versions of WordPress.

You assume all risk associated with the use of the Plugin.

Limitation of Liability

In no event will the Licensor be liable to you for any special, incidental, consequential, or indirect damages, including, without limitation, loss of profits, loss of data, or business interruption, even if the Licensor has been advised of the possibility of such damages.

Term and Termination

This license is effective until terminated. You may terminate this license at any time by uninstalling the Plugin from all websites on which it has been installed. The Licensor may terminate this license if you breach any of the terms of this Agreement, in which case you must immediately cease using the Plugin and uninstall it from all websites.

Upon termination, all rights granted to you under this Agreement will immediately cease, and you must destroy all copies of the Plugin.

Support and Updates

Support is provided on a best-effort basis, and response times may vary depending on the volume of inquiries and the support tier purchased.

Support

The Licensor may provide support for the Plugin, including bug fixes, troubleshooting, and general assistance. The level of support provided depends on the type of license purchased:

Basic Support: Available for all users. May include limited support through our support forum or email during business hours.

Priority Support: Available to users who purchase Agency licensing, which includes priority response times for issues.

Premium Support: Available to users who purchase Developer or Enterprise licensing, which may include one-on-one support, dedicated assistance, or other premium services as outlined in the purchase agreement.

Updates

The Licensor may release updates to the Plugin, including bug fixes, feature enhancements, and compatibility improvements, at its discretion. The availability of updates depends on the type of license purchased:

Basic License: Updates may be provided for as long as the license is active or until the Plugin is discontinued and the end-of-life (EOL) for the Plugin is announced. In the event that the Plugin is discontinued, no further updates or support will be provided, and users will be notified accordingly.

Priority and Premium Licenses: Updates will be available for the duration of the license term, including continued access to bug fixes, feature updates, and compatibility improvements. If the Plugin is discontinued, users will be notified in advance, and support and updates will cease at the end of the announced support period.

End-of-Life (EOL) and Discontinuation

The Licensor reserves the right to discontinue the Plugin or any version of the Plugin at any time. Should the Plugin reach its End-of-Life (EOL), the Licensor will announce the discontinuation of updates and support for the Plugin. Upon EOL announcement, users will no longer receive updates, bug fixes, or support for the Plugin.

EOL Announcement: The Licensor will provide notice of the EOL at least 3 months before support and updates cease. The Licensor is not responsible for any issues arising from the use of the Plugin outside the scope of the provided support.

Limitations

The Licensor is not responsible for any issues arising from the use of the Plugin outside the scope of the provided support.

Support is provided on a best-effort basis, and response times may vary depending on the support tier purchased.

Transferability

This license is personal to you and may not be transferred to any third party without the prior written consent of the Licensor. Any attempted transfer without consent will result in the automatic termination of this license.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of Iowa, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Iowa, United States.

Entire Agreement

This Agreement constitutes the entire understanding between you and the Licensor regarding the Plugin and supersedes all prior agreements, understandings, and representations, whether oral or written, concerning the Plugin.
